1. Ownership of Platform Content

All content, materials, and intellectual property on the Tools Prompt website, mobile applications, and related services (the "Platform") are owned by Tools Prompt or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

1.1 Platform Elements

The following elements of the Platform are the exclusive property of Tools Prompt:

• Website Design & Layout: All HTML/CSS code, JavaScript, visual design elements, and user interface components.
• Logo & Brand Identity: The Tools Prompt name, logo, taglines, and distinctive branding elements.
• Software & Code: All backend code, algorithms, databases, and server-side applications.
• Original Content: Blog posts, articles, tutorials, and educational materials created by Tools Prompt.
• Graphics & Icons: Custom illustrations, icons, and graphic elements.

2. User-Generated Content

Users of Tools Prompt (both buyers and sellers) retain ownership of their original content submitted to the Platform, subject to the licenses granted below.

2.1 Seller Content

When sellers list Prompts on Tools Prompt, they retain full copyright ownership of their Prompt text. However, by listing a Prompt, sellers grant Tools Prompt a non-exclusive, worldwide, royalty-free license to:

• Display and promote the Prompt on the Platform
• Use the Prompt in marketing and promotional materials
• Store and backup the Prompt for platform functionality
• Analyze and improve platform features

2.2 Buyer Content

Buyers retain all rights to content they generate using purchased Prompts. Tools Prompt does not claim ownership over AI-generated content created by users using Prompts purchased on the Platform.

2.3 User Submissions

Any comments, feedback, suggestions, or ideas submitted to Tools Prompt become the property of Tools Prompt and may be used without compensation or attribution.

3. Seller Rights & Ownership

As a seller on Tools Prompt, you retain full copyright ownership of your original Prompts. However, by listing your Prompt, you represent and warrant that:

• You are the original creator of the Prompt or have obtained all necessary rights and permissions.
• The Prompt does not infringe upon any third-party copyright, trademark, or other intellectual property rights.
• The Prompt does not contain copyrighted material, trademarks, or content owned by others without proper authorization.
• You have the right to grant the licenses described in these terms.

4. Buyer License Terms

When you purchase a Prompt on Tools Prompt, you receive a non-exclusive, perpetual, worldwide license to use the Prompt under the following conditions:

4.1 Permitted Uses

• Use the Prompt for personal or commercial AI content generation
• Modify, adapt, or build upon the Prompt for your own projects
• Use the Prompt across multiple AI platforms (Midjourney, DALL-E, Stable Diffusion, etc.)
• Generate an unlimited number of AI creations using the Prompt

4.2 Prohibited Uses

• Resell, redistribute, or sublicense the Prompt itself (the text instructions)
• Claim ownership of the Prompt as your original work
• Include the Prompt in a collection or database for resale
• Use the Prompt to create content that violates any laws or these Terms
• Share the Prompt with others who have not purchased it

4.3 Transferability

The license granted to buyers is non-transferable. You may not sell, give, or otherwise transfer the Prompt to another person or entity.

5. Prohibited Use of Content

Without express written permission from Tools Prompt or the respective copyright owner, you may not:

• Copy, reproduce, or duplicate any part of the Platform (including code, design, or structure)
• Scrape, crawl, or extract data from the Platform using automated tools
• Create derivative works based on Platform content
• Use Tools Prompt's name, logo, or branding without permission
• Frame or embed the Platform within another website
• Circumvent any access controls or security measures
• Use Platform content for training AI models without explicit permission

6. Copyright Infringement (DMCA Compliance)

Tools Prompt respects the intellectual property rights of others and expects its users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and similar laws in other jurisdictions.

6.1 Reporting Copyright Infringement

If you believe that any content on the Platform infringes your copyright, please submit a DMCA notice containing the following information:

All other trademarks, service marks, and trade names appearing on the Platform are the property of their respective owners. Use of any trademark without the owner's permission is prohibited.

8. Counter-Notice Procedure

If your content was removed due to a DMCA notice and you believe it was removed in error, you may file a counter-notice containing:

• Your physical or electronic signature
• Identification of the material removed
• A statement under penalty of perjury that you have a good faith belief the material was removed by mistake
• Your name, address, and telephone number
• A statement consenting to jurisdiction in your local federal court

Counter-notices should be sent to copyright@toolsprompt.com. We will forward the counter-notice to the original complainant and may restore the content after 10-14 business days if no further action is taken.

9. Repeat Infringer Policy

Tools Prompt maintains a strict policy against repeat infringers. Users who receive multiple valid DMCA notices may have their accounts terminated at our discretion. We reserve the right to:

• Issue warnings to users who violate copyright policies
• Suspend accounts pending investigation of infringement claims
• Terminate accounts of users with multiple violations
• Withhold payouts from sellers found to be infringing

10. Fair Use Policy

Nothing in this Copyright Notice limits your rights under fair use, fair dealing, or other exceptions to copyright protection. You may use copyrighted material for purposes such as:

• Criticism, comment, news reporting, teaching, scholarship, or research
• Parody, satire, or transformative uses
• Brief quotations for review or discussion
