1. Acceptance of Terms

By accessing or using the Tools Prompt website (www.toolsprompt.com), mobile applications, and related services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Platform.

Tools Prompt operates as an AI Prompt Marketplace where users can buy and sell AI prompts for photo editing, video creation, and other creative applications. By using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Definitions

• "Platform" refers to Tools Prompt website, mobile applications, and all related services.
• "User" refers to any individual or entity that accesses or uses the Platform.
• "Buyer" refers to a User who purchases Prompts on the Platform.
• "Seller" refers to a User who lists and sells Prompts on the Platform.
• "Prompt" refers to text-based instructions, descriptions, or parameters used to generate AI-generated content.
• "Content" refers to any text, images, videos, or other materials uploaded to the Platform.
• "Commission" refers to the fee deducted from each sale (currently 20% of the sale price).

3. Account Registration

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.
• Be at least 18 years old to create an account and use the Platform.

4. Buyer Terms

4.1 Purchasing Prompts

When you purchase a Prompt on Tools Prompt, you receive a non-exclusive, non-transferable license to use the Prompt for personal or commercial purposes, subject to the following conditions:

• You may not resell, redistribute, or sublicense the Prompt itself (the text instructions).
• You may use the Prompt to generate content for your own projects, including commercial projects.
• You may not claim ownership of the Prompt as your own original work.

4.2 Payment Processing

All payments are processed securely through Razorpay, a PCI-DSS compliant payment gateway. Tools Prompt does not store your payment information. By making a purchase, you agree to Razorpay's terms of service.

4.3 Refund Policy

Due to the digital nature of Prompts, all sales are final. However, if you encounter technical issues or receive an incorrect Prompt, please contact us within 7 days of purchase at support@toolsprompt.com for assistance.

5. Seller Terms

5.1 Listing Prompts

Sellers may list Prompts for sale on the Platform. By listing a Prompt, you represent and warrant that:

• You are the original creator of the Prompt or have the legal right to sell it.
• The Prompt does not infringe on any third-party intellectual property rights.
• The Prompt does not violate any laws or these Terms.
• You have the right to grant the license described in these Terms.

5.2 Seller Information

Sellers must provide accurate payment information (UPI ID or bank account details) to receive payouts. Payouts are processed after sales are confirmed and verified.

5.3 Commission Structure

Tools Prompt charges a 20% commission on each sale. The commission covers platform maintenance, payment processing fees, and customer support. Sellers receive 80% of the sale price.

5.4 Content Ownership

Sellers retain ownership of their Prompts. By listing a Prompt, you grant Tools Prompt a non-exclusive, worldwide, royalty-free license to display, promote, and distribute your Prompt on the Platform.

6. Payments & Fees

6.1 Pricing

Sellers set their own prices for Prompts. Tools Prompt reserves the right to suggest pricing guidelines. Prices are displayed in Indian Rupees (₹).

6.2 Payment Processing

All transactions are processed through Razorpay. Tools Prompt does not store credit card or banking information. Payment processing fees are included in the 20% commission.

6.3 Taxes

Sellers are responsible for reporting and paying any applicable taxes on their earnings. Tools Prompt does not withhold taxes from payouts unless required by law.

7. Intellectual Property

All content on the Tools Prompt Platform, including but not limited to logos, designs, text, graphics, software, and code, is the property of Tools Prompt or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works of any content on the Platform without explicit permission from Tools Prompt.

8. Prohibited Content

The following types of content are strictly prohibited on Tools Prompt:

• Prompts that generate illegal, harmful, or dangerous content
• Content that infringes on third-party intellectual property rights
• Prompts that generate explicit adult content or pornography
• Content promoting hate speech, violence, discrimination, or harassment
• Malicious code, viruses, or harmful software
• Content that violates any applicable laws or regulations

Tools Prompt reserves the right to remove any content that violates these Terms and to suspend or terminate accounts of users who violate these Terms.

9. Termination

Tools Prompt may terminate or suspend your account immediately, without prior notice, for conduct that violates these Terms or is harmful to other users, the Platform, or third parties. Upon termination:

• Your right to use the Platform will immediately cease.
• Pending payouts may be withheld if termination is due to policy violations.
• You will not be entitled to any refunds for previously purchased Prompts.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TOOLS PROMPT DOES NOT WARRANT THAT:

• The Platform will function uninterrupted, secure, or available at any particular time.
• Prompts listed by sellers are accurate, reliable, or fit for a particular purpose.
• The results generated from using Prompts will meet your expectations.

Tools Prompt is not responsible for any AI-generated content created using Prompts purchased on the Platform. Users are solely responsible for ensuring their use of Prompts complies with applicable laws.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLS PROMPT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Platform.
• Any conduct or content of any third party on the Platform.
• Any content obtained from the Platform.
• Unauthorized access, use, or alteration of your transmissions or content.

Tools Prompt's total liability shall not exceed the amount paid by you, if any, for accessing the Platform or ₹1,000, whichever is less.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

13. Changes to Terms

Tools Prompt reserves the right to modify these Terms at any time. We will notify users of material changes by posting the new Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
